1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nexable ("we," "us," or "our") governing your access to and use of the Nexable platform, including our website, applications, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. User Accounts

2.1 Account Creation

To use Nexable, you must:

• Be at least 16 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your account information if it changes

2.2 Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

2.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

3. Credits & Payment

3.1 Credit System

Nexable operates on a credit-based system:

• New users receive 100 free credits upon signup
• Credits are consumed when generating courses and using AI features
• Credits do not expire unless your account is terminated
• Additional credits can be purchased or earned through referrals

3.2 Pricing & Payments

• All prices are displayed in Euros (€) and are subject to change
• Payment processing is handled securely by Lemon Squeezy
• You authorize us to charge your payment method for all fees incurred
• All sales are final; credits are non-refundable except as required by law

3.3 Refund Policy

Credits are generally non-refundable. However, we may provide refunds at our sole discretion in cases of technical errors, billing mistakes, or other exceptional circumstances. Contact our support team for refund requests.

4. Acceptable Use

4.1 Permitted Use

You may use Nexable to:

• Create educational courses for personal or commercial use
• Share courses with others using access codes
• Export and distribute your created content
• Collaborate with other users on course creation

4.2 Prohibited Activities

You may NOT:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Scrape, spider, or harvest data from the Service
• Use the Service to generate harmful, abusive, or discriminatory content
• Impersonate others or misrepresent your affiliation
• Interfere with or disrupt the Service's operation
• Share your account credentials with others
• Resell or redistribute our Service without authorization

5. Content & Intellectual Property

5.1 Your Content

You retain all rights to the content you create using Nexable, including:

• Course titles, descriptions, and custom content
• PDFs and documents you upload
• AI-generated content created through your inputs

By using our Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service to you.

5.2 Our Intellectual Property

The Nexable platform, including its design, code, algorithms, and branding, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or reverse-engineer our platform.

5.3 AI-Generated Content

Content generated by our AI models based on your inputs is considered your content. However, you acknowledge that similar content may be generated for other users based on similar prompts.

6. Disclaimers & Limitations

6.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6.2 Content Accuracy

While we strive to provide accurate AI-generated content, we make no guarantees about the accuracy, completeness, or reliability of any content generated through our Service. You are responsible for reviewing and verifying all content before use.

6.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXABLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers
• Any interruption or cessation of the Service
• Any bugs, viruses, or other harmful code
• Content or conduct of any third party

6.4 Maximum Liability

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

7. Indemnification

You agree to indemnify, defend, and hold harmless Nexable and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your violation of these Terms, any law or regulation, any rights of a third party, or your use of the Service.

8. Termination

8.1 Termination by You

You may terminate your account at any time by accessing your account settings and selecting the "Delete Account" option. Upon termination, your courses and personal data will be deleted within 30 days.

8.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent activity
• Pose a security or legal liability
• Remain inactive for an extended period

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete your data in accordance with our Privacy Policy, except where retention is required by law.

9. Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of Estonia, without regard to its conflict of law provisions.

9.2 Informal Resolution

If you have a dispute with us, please contact us first at support@nexable.net to attempt to resolve the issue informally.

9.3 Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the courts of Tallinn, Estonia. You consent to the personal jurisdiction of these courts.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on our platform. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Nexable.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
